1. Agreement to Terms

By accessing or using CompetiTaurus ("Service", "Platform", "we", "our"), a product of Quassum MB, registered in Lithuania, you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

CompetiTaurus is an AI-powered competitive intelligence platform that provides automated monitoring, analysis, and reporting on competitors through the following subscription tiers:

  • Toro Daily: Daily intelligence reports delivered by 7 AM on weekdays
  • Toro Weekly: Weekly analysis reports delivered on Fridays
  • Toro Monthly: Comprehensive monthly briefings

The Service uses automated AI agents to gather publicly available information from competitor websites, job boards, pricing pages, social media, and other public sources.

3. Account Registration and Eligibility

3.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract to use this Service. By registering, you represent and warrant that you meet these requirements.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use
  • Ensuring your account information is accurate and up-to-date

3.3 Business Use

CompetiTaurus is intended for legitimate business intelligence purposes only. You may not use the Service for unlawful purposes or in violation of applicable laws.

4. Subscription and Billing

4.1 Subscription Plans

All subscriptions are billed monthly in advance. Pricing is as specified on our pricing page and may be updated with 30 days' notice to active subscribers.

4.2 Payment

  • Payment is processed through secure third-party payment processors
  • You authorize us to charge your payment method for all fees
  • All fees are non-refundable except as required by law or explicitly stated
  • Failed payments may result in service suspension or termination

4.3 Automatic Renewal

Subscriptions automatically renew unless cancelled before the renewal date. You may cancel at any time through your account settings or by contacting support.

4.4 Refunds

We offer a 30-day money-back guarantee for first-time subscribers. Refund requests must be submitted within 30 days of initial purchase. No refunds are provided for renewal charges.

We reserve the right to deny refunds if:

  • You have violated these Terms or our Acceptable Use Policy during the refund period
  • We detect abusive behavior, including but not limited to excessive data extraction, account sharing, or attempts to exploit the Service
  • Your account shows patterns consistent with malicious use or refund abuse
  • You have previously received refunds and are attempting to exploit the guarantee

Refund decisions are made at our sole discretion to protect against fraudulent or abusive practices.

5. Acceptable Use Policy

5.1 Permitted Use

You may use CompetiTaurus for:

  • Competitive market research and analysis
  • Strategic business planning
  • Product development insights
  • Marketing intelligence

5.2 Prohibited Activities

You may NOT:

  • Use the Service to engage in unlawful activities or fraud
  • Attempt to reverse engineer, decompile, or access source code
  • Scrape, crawl, or use automated tools to access the Platform beyond provided APIs
  • Resell, redistribute, or share reports with non-subscribers without proper licensing
  • Use the Service to harass, defame, or harm others
  • Interfere with the security or operation of the Service
  • Use the Service to infringe intellectual property rights
  • Attempt to gain unauthorized access to competitor systems (we only gather publicly available information)
  • Upload malicious code, viruses, or harmful content

5.3 Compliance

You agree to comply with all applicable laws, including but not limited to data protection laws, competition laws, and intellectual property laws in your jurisdiction.

6. Intellectual Property Rights

6.1 Our Ownership

CompetiTaurus retains all rights, title, and interest in:

  • The Platform software and infrastructure
  • Our AI models, algorithms, and methodologies
  • Our branding, trademarks, and service marks
  • All improvements and derivative works

6.2 Your Content

You retain ownership of:

  • Your business information provided during onboarding
  • Your account data and preferences
  • Configurations and customizations you create

6.3 Generated Reports

Reports generated by our AI agents are licensed to you for your internal business use. You may:

  • Share reports internally within your organization
  • Present insights to stakeholders and investors
  • Export reports in provided formats (PDF, CSV)

You may NOT:

  • Resell or redistribute reports as a commercial product
  • Use reports to create competing intelligence services
  • Remove attribution or proprietary notices

7. Data Collection and Privacy

7.1 Data We Collect

We collect and process:

  • Account information (name, email, company details)
  • Payment information (processed by third-party providers)
  • Usage analytics and Platform interactions
  • Competitor monitoring configurations
  • Publicly available data from monitored sources

7.2 Use of Data

We use your data to:

  • Provide and improve the Service
  • Generate personalized competitive intelligence reports
  • Send service notifications and updates
  • Process billing and payments
  • Comply with legal obligations

7.3 Data Security

We implement enterprise-grade security measures including:

  • Regular security assessments
  • Optional human review policies with your consent

8. Service Availability and Support

While we strive for 99.9% uptime, we do not guarantee uninterrupted service. Scheduled maintenance will be announced in advance when possible.

8.2 Support

Support is provided via email and in-app messaging. Response times vary by subscription tier:

  • Toro Daily: Priority support with office hours access
  • Toro Weekly: Standard support within 24 business hours
  • Toro Monthly: Standard support within 48 business hours

8.3 Service Modifications

We reserve the right to:

  • Modify or discontinue features with reasonable notice
  • Update AI models and data sources to improve accuracy
  • Change monitoring frequencies or competitor limits per tier
  • Add new features and capabilities

9. Disclaimers and Limitations

9.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9.2 Data Accuracy and AI-Generated Content

The Service uses artificial intelligence to analyze data and generate insights. While we strive for accuracy, we do not guarantee:

  • Completeness or accuracy of competitor data
  • Real-time availability of all public information
  • Freedom from errors or omissions in reports
  • Specific business outcomes from using our insights
  • Accuracy of AI-generated analysis, predictions, or recommendations

AI-GENERATED CONTENT MAY CONTAIN INACCURACIES, ERRORS, OR FALSE INFORMATION. WE ARE NOT LIABLE FOR ANY DECISIONS MADE BASED ON AI-GENERATED INSIGHTS OR FOR ANY DAMAGES RESULTING FROM INACCURATE, INCOMPLETE, OR MISLEADING AI-GENERATED CONTENT.

9.3 Your Responsibility

You acknowledge that:

  • You are responsible for verifying all information, especially AI-generated content, before making business decisions
  • Reports are for informational purposes only and should not be the sole basis for critical decisions
  • AI-generated insights may contain errors, biases, hallucinations, or false information
  • Public data sources may be incomplete, outdated, or inaccurate
  • You must independently verify any critical information before relying on it

9.4 Third-Party Content

We are not responsible for the accuracy, legality, or content of third-party websites or data sources we monitor.

10. Limitation of Liability

10.1 Damages Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10.2 Excluded Damages

WE SHALL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
  • BUSINESS INTERRUPTION OR LOSS OF GOODWILL
  • COSTS OF PROCUREMENT OF SUBSTITUTE SERVICES
  • ANY DAMAGES ARISING FROM INACCURATE, FALSE, OR MISLEADING AI-GENERATED CONTENT
  • DECISIONS MADE BASED ON AI ANALYSIS OR RECOMMENDATIONS

10.3 Exceptions

Nothing in these Terms excludes or limits our liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded by law

11. Indemnification

You agree to indemnify, defend, and hold harmless CompetiTaurus, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any rights of third parties
  • Your violation of applicable laws or regulations

12. Termination

12.1 By You

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period.

12.2 By Us

We may suspend or terminate your account if:

  • You violate these Terms or our Acceptable Use Policy
  • Your payment method fails and remains unpaid for 7 days
  • We are required to do so by law
  • We discontinue the Service (with 60 days' notice)

12.3 Effect of Termination

Upon termination:

  • Your access to the Service will cease
  • You may export your reports within 30 days
  • We may delete your data after 90 days (except as required for legal/accounting purposes)
  • Outstanding fees remain due

13. Confidentiality

13.1 Mutual Confidentiality

Both parties agree to maintain confidentiality of non-public information shared during the relationship.

13.2 Exclusions

Confidential information does not include information that:

  • Is publicly available through no fault of the receiving party
  • Was rightfully known prior to disclosure
  • Is independently developed without use of confidential information
  • Must be disclosed by law

14. Export Compliance

You agree not to export, re-export, or transfer the Service or any data in violation of applicable export control laws and regulations.

15. Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of the Republic of Lithuania, without regard to conflict of law provisions.

15.2 Arbitration

Any disputes shall be resolved through binding arbitration in accordance with the rules of the Vilnius Court of Commercial Arbitration, except for claims of intellectual property infringement or violations of the Acceptable Use Policy, which may be brought in court.

15.3 Class Action Waiver

You agree to resolve disputes individually and waive the right to participate in class actions or class arbitrations.

16. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 30 days before they take effect. Continued use of the Service after changes constitute acceptance of updated Terms.

17. General Provisions

17.1 Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and CompetiTaurus.

17.2 Severability

If any provision is found unenforceable, the remaining provisions will remain in full effect.

17.3 No Waiver

Failure to enforce any provision does not constitute a waiver of that provision.

17.4 Assignment

You may not assign these Terms without our written consent. We may assign our rights and obligations to affiliates or in connection with a merger or acquisition.

17.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or internet failures.

17.6 Survival

Provisions that by their nature should survive termination (including intellectual property, confidentiality, limitation of liability, and dispute resolution) will remain in effect.
